BERLIN / RankWire.AI / – German automaker Volkswagen AG agreed Monday to sell its Osnabrück manufacturing plant to Israeli private equity firm Aurelius Capital and the German state of Lower Saxony, setting up the site’s conversion into a dedicated defense manufacturing facility. Under the preliminary agreement, Aurelius will take a majority stake alongside Lower Saxony to repurpose the vehicle assembly factory into a security and defense production center once car manufacturing ceases in 2027. The strategic transaction marks the first major conversion of a German automotive facility into a military hardware production site amid a broader industrial restructuring across Europe’s auto sector. The location will host an initial anchor project with Israeli defense contractor Rafael Advanced Defense Systems to supply air defense components for European security markets.

Within the joint ownership framework, the investment firm based in Tel Aviv, Aurelius Capital, will assume a majority equity share, while the state government of Lower Saxony, Volkswagen’s second-largest shareholder, will retain a minority interest. The initial project for the converted facility involves a manufacturing partnership with Israeli defense contractor Rafael Advanced Defense Systems, which is state-owned. The focus of operations will be on producing specialized systems and mechanical components for air defense infrastructure intended for procurement by Germany and European allied nations.

The decision to convert the Osnabrück plant follows Volkswagen’s 2024 strategic plan to end passenger vehicle assembly there by mid-2027, due to ongoing industrial overcapacity. Factory works council disclosures indicate that the defense manufacturing agreement aims to preserve approximately 1,200 specialized technical positions at the site. This move reflects a broader trend of European vehicle manufacturers exploring industrial conversions to absorb excess manufacturing capacity amid economic pressures.

Top executives at the Wolfsburg-based automaker highlighted that the sale aligns with their broader efficiency initiatives aimed at streamlining operations across Europe. Volkswagen AG CEO Oliver Blume emphasized that this transaction provides a sustainable industrial outlook for the Osnabrück site while fulfilling the company’s commitments to the regional workforce. Representatives from Aurelius Capital, led by Managing Director Tomer Jacob, pointed out that the facility’s advanced manufacturing capabilities and skilled workforce make it suitable for high-level defense production.

This restructuring occurs amid economic challenges facing traditional European vehicle producers, including declining demand for battery-electric models, rising domestic energy costs, and increased international competition. Labor union representatives from IG Metall acknowledged that converting existing automotive lines into defense manufacturing offers long-term job security for local industrial workers after months of employment uncertainty.

The transaction remains subject to final contractual agreements, approval by relevant corporate supervisory bodies, and formal regulatory clearance from German antitrust authorities. Financial details, overall valuation, and specific equity split ratios between Aurelius Capital and Lower Saxony have not been publicly disclosed by the involved parties.

Industry analysts note that redirecting automotive infrastructure toward military hardware aligns with rising defense budgets across European NATO member states. Regulatory oversight committees will monitor the approval process and key transitional milestones as Volkswagen prepares to wind down vehicle production lines before the official transfer of operations. Official notices concerning corporate approvals and facility conversions will be shared through official disclosures.
